Incorporation of Entities
Limited Liability Company
Limited liability companies are the most popular business entity in Kenya due to the ease of incorporation. Registration is done online a process that can take a week. Registration with the Kenya Revenue Authority (KRA) can be done simultaneously. A limited company ensures that the liability of the shareholders does not extend to them personally. The incorporation of a limited company establishes a separate legal personality for that company with the same rights and obligations as a natural person.
Offshore Companies
A company established outside Kenya which wishes to have a presence in Kenya can do so by establishing a branch in Kenya also known as an Offshore company. A branch is not a separate legal entity from its parent entity. Registration of the branch in Kenya includes registration of particulars of the parent entity with the Kenyan Company Registry. The branch must have a registered place a registered address and an authorised local representative registered at the Regisry as well.
Annual Compliance
A registered branch is required to notify the Companies Registry in the event of any changes to its registration details in its home jurisdiction, and also to file an Annual Return. Audited financial statements of the parent entity are also required t be filed with the Company Registry in Kenya.
